   SECURITIES AND EXCHANGE COMMISSION v. SAMER EL BIZRI, CONRAD P.
   SEGHERS, JAMES DICKEY, INTEGRAL HEDGING LP, INTEGRAL ARBITRAGE LP, AND
   INTEGRAL EQUITY LP (Case No. CV 02-01251 MMM (FMOx))

   On February 8, 2002, the Commission filed an application with the
   United States District Court for the Central District of California
   for an order to enforce investigative subpoenas served on Samer El
   Bizri, Conrad P. Seghers, James Dickey, and three funds, Integral
   Hedging LP, Integral Arbitrage LP, and Integral Equity LP. The
   subpoenas sought documents and testimony from them regarding, among
   other things, whether they offered and sold unregistered securities
   and made materially false and misleading statements or omitted to
   state material facts concerning the use of investor proceeds and the
   funds' rates of return.

   The Commission's application alleges that Samer El Bizri, Conrad P.
   Seghers, James Dickey, Integral Hedging LP, Integral Arbitrage LP, and
   Integral Equity LP have not fully complied with the subpoenas issued
   by the Commission. In its application, the Commission argues, among
   other things, that these individuals and entities have no valid
   justification for their failure to comply. A hearing on the
   Commission's application has not yet been scheduled.
