                       Paul, Weiss, Rifkind, Wharton & Garrison ("Paul Weiss") represents the

party in interest identified below, and pursuant to Bankruptcy Rule 2019, makes the

following representations:

                       1.      Paul Weiss represents ContiGroup Companies, Inc.

("ContiGroup"), on its own behalf and on behalf of its LPG division, ContiChem.

ContiGroup has retained Paul Weiss to represent its interests in connection with the

chapter 11 cases of Enron Corp. and its affiliated debtor entities (collectively, the

"Debtors").

                       2.      ContiGroup's address is 277 Park Avenue, New York, New York,

10167.

                       3.      ContiGroup holds substantial unsecured claims against the

Debtors, but Paul Weiss cannot, at this time, specify the amount or type of these claims.

    Bankruptcy Procedure, for an order directing joint administration of the above-captioned
    
    chapter 11 cases, as is more fully set forth in the Motion; and it appearing that the Court
    
    has jurisdiction to consider the Motion; and it appearing that the relief requested in the
    
    Motion is in the best interest of the Debtors and their respective estates and creditors; and
    
    it appearing that due and appropriate notice of the Motion has been provided and no
