Plaintiff, by her attorneys, as and for her Class Action
Complaint, alleges the following upon personal knowledge as to
herself and her acts and as to all other matters upon information
and belief, based upon, inter alia, the investigation made by and
through her attorneys, including a review of the public filings of
World Access, Inc. ("World Access" or the "Company") with the
United States Securities and Exchange Commission ("SEC"), as well
as published reports and news articles.
JURISDICTION AND VENUE
1. This Court has jurisdiction over the subject matter
of this action pursuant to Section 27 of the Securities Exchange
Act of 1934 (the "Exchange Act"), 15 U.S.C. §78aa and 28 U.S.C.
