                                      CONSOLIDATED  AMENDED  COMPLAINT

           Plaintiffs,                by  their        attorneys,              allege            
information                and  belief              (based  on,  inter                  alia,      
made  by  plaintiffs                     by  and  through                 their         attorneys),
the  allegations                 which  pertain              to  the  named  plaintiffs            
counsel,            which  are  made  on  personal                           knowledge.

                                                        IiTRODUCTION

           1.         This  is  an  open-market                          securities              
against            Viewlogic           Systems,          Inc.           ("Viewlogic"              
and  certain               of  the  Company's  officers                              and 
behalf            of  purchasers            of  Viewlogic                 common  stock  during    
July  6,  1994,  through                      and  including                 December  30,  1994 
"Class"            and  the  "Class  Period").                            Viewlogic              
design            automation            ("EDA")  software                   that  enables          
design  and  construct                      electronic                  chips  and  electronic     
the  semiconductor                      and  related              industries.
