                 For its Complaint  herein, Plaintiffalleges  as follows:

                                                 THE  PARTIES

                  1.      Plaintiff  SYNDIA  CORPORATION  ("Syndia"),  is an Illinois  corporation

having  a place of business at 140 South Dearborn Street, Chicago, Illinois.

                 2.        On  information  and  belief,  defendant  THE  GILLETTE  COMPANY

("Gillette"),  is  a  Delaware  corporation  having  its  principal  place  of  business  in 

Massachusetts.  On  information  and belief,  Gillette  is  doing  business  on  a  systematic  and

continuous  basis within  this  Judicial  District  and has caused infringing  conduct  to  take

within  this Judicial  District.

                                          JURISDICTION     AND  VENUE

                 3.       This  is  a cause of action  for patent infringement  arising  under the

Laws  of the United  States, 35 U.S.C.  3 101, et seq., including  35 U.S.C.  $5 271 and 281.

                 4.       This  Court  has jurisdiction  pursuant  to  28  U.S.C.  $5 1331 and
