       The State of Minnesota, by its Attorney General, Mike Hatch, alleges as follows:

                                  INTRODUCTION AND PARTIES

       1.      Defendant Fleet Mortgage Corporation ("Fleet") has provided mortgage account

numbers and other detailed information about its Minnesota customers to companies engaged in

telemarketing solicitations.  Fleet and its telemarketing partners have used this information to

charge membership program fees to the mortgage accounts of Minnesota homeowners using

"free trial" offers that have the tendency and capacity to deceive, mislead and confuse Fleet

mortgage holders.  As a result, defendants have violated Minnesota consumer protection laws.

       2.      Mike Hatch, the Attorney General of the State of Minnesota, is authorized under

Minnesota Statutes chapter 8, and has common law authority, including parens patriae authority,

to bring this action on behalf of the State of Minnesota and its citizens to enforce Minnesota's

consumer protection laws.



       3.     Fleet Mortgage Corporation is a South Carolina corporation with its principal
