                    Plaintiffs, by and through their undersigned attorneys, allege as follows:
    
                                         NATURE OF THE ACTION
    
                    1. This is an action for contributory and vicarious copyright infringement and
    
    related state law claims arising from defendant's willful facilitation of widespread copyright
    
    infringement over the Internet.  Defendant operates an Internet website which knowingly
    
    indexes, organizes and posts links to thousands of pirate copies of plaintiffs' protected sound
    
    recordings.  By clicking on these links, Internet users can download directly to their computer
    
    infringing copies of plaintiffs' copyrighted sound recordings at no cost.
    
                    2. In addition to organizing and posting such links, defendant affirmatively
    
    acts to promote the illegal activity occurring on its website.  It encourages site visitors to post
    
    their own infringing links and to download infringing files via links posted by others.  Indeed, if
    
    
    
    a particular pirated copy of a recording is not available on defendant's site, defendant provides a
