         1.   This is a suit on behalf of all those who purchased or
    
    otherwise acquired Capstead Mortgage Corporation ("Capstead" or the
    
    "Company") stock between 4/17/97 and 6/25/98 (the "Class Period"),
    
    alleging violations of §§10(b) and 20(a) of the Securities Exchange
    
    Act of 1934 ("1934 Act") and SEC Rule 10b-5.  This action complains
    
    of a scheme by Capstead (a real estate investment trust) and its
    
    top insiders to cause Capstead's stock to trade at artificially
    
    inflated levels by misrepresenting Capstead's financial results,
