     Plaintiffs, by their attorneys, allege upon personal knowledge

as to themselves and, as to all other matters, upon information and

belief, based, in part, upon the investigation of counsel,

including the review of public filings with the Securities and

Exchange Commission ("SEC"), news reports, press releases, court

filings, investigative transcripts, company documents and other

documents and other investigative efforts by counsel.  Plaintiffs

believe that further substantial evidentiary support exists for the

allegations set forth below and will be accessible after a

reasonable opportunity for discovery.

  • purchasers of the common stock of defendant Computer Learning
  • CLC purportedly provides
  • information technology and computer-related education and training
  • in the United States and Canada.

  • goal and focus was to admit as many students as possible,

  • Prior to the Class Period, in or about March 1996, CLC's
