                  Plaintiff,  the  United  States of  America,  acting  upon  notification  and 
                                                                                                   
          Attorney  General  by the  Federal  Trade  Commission  ("Commission"),  for  its 
                      1.  Plaintiff  brings  this  action  under  Sections 5(l),  9,  13(b)  and 

          Commission  Act  ("FTC  Act"),  15 U.S.C.  5s 45(l),  49, 53(b)  and  56(a),  to  obtain 

          penalties,  injunctive  and  other  relief  from  defendant  for  its violations  of  a

          desist issued  by the  Commission,  and for  defendant's  unfair  or  deceptive  acts or 

          of  Section  5(a)  of  the FTC  Act,  15 U.K.  4 45(a).

                      2.  This  court  has jurisdiction  over  this matter  under  28 U.S.C.  $4 

          and  1355  and  under  15 USC.  $8 450_), 49,53(b)  and  56(a).

                       4.  Defendant  Intermatic  Incorporated  ("Intermatic")  is a DeIaware 
          office  and principal  place  of  business  located  within  the Northern  District  of 
          Plaza, Spring  Grove,  Illinois  6008 I_  Intermatic  is engaged  in  the  manufacturing,

           marketing  and  sale of  consumer  and industrial  energy control  products.  Its major 
           include  consumer  timers,  low-voltage  outdoor  lighting,  industrial  grade  timers,
