11 COMPLAINT FOR PERMANENT INJUNCTION AND OTHER EQUITABLE RELIEF

13 Plaintiff, the Federal Trade Commission ("FTC" or "the
14 Commission"), for its Complaint alleges as follows:
15 1. The FTC brings this action under Section 13(b) of the
16 Federal Trade Commission Act ("FTC Act"), 15 U.S.C. § 53(b), to
17 secure a permanent injunction, rescission of contracts,
18 restitution, disgorgement, and other equitable relief for
19 Defendants' unfair or deceptive acts or practices in violation of
20 Section 5(a) of the FTC Act, 15 U.S.C. § 45(a).
21 2. This Court has jurisdiction over this matter pursuant to
22 28 U.S.C. §§ 1331, 1337(a) and 1345, and 15 U.S.C. § 53(b). This
23 action arises under 15 U.S.C. § 45(a)(1).
24 3. Venue in the United States District Court for the Northern
25 District of Texas is proper under 28 U.S.C. §§ 1391(b) and (c), and
26 15 U.S.C. § 53(b).

1 THE PARTIES
2 4. Plaintiff, the Federal Trade Commission, is an independent
3 agency of the United States Government created by statute. 15
4 U.S.C. §§ 41-58. The Commission is charged, inter alia, with
5 enforcing Section 5(a) of the FTC Act, 15 U.S.C. § 45(a), which
6 prohibits unfair or deceptive acts or practices in or affecting

12 STIPULATED FINAL JUDGMENT
13 WHEREAS: Plaintiff, the Federal Trade Commission ("FTC" or
14 the "Commission") commenced this action by filing the Complaint
15 herein; Defendants have waived service of the Summons and
16 Complaint; the parties have been represented by the attorneys whose
17 names appear hereafter; and the parties have agreed to the
18 settlement of this action upon the following terms and conditions,
19 without adjudication of any issue of fact or law and without
20 Defendants admitting liability for any of the matters alleged in
21 the Complaint;
22 THEREFORE, on the joint motion of Plaintiff and Defendants, it
23 is hereby ORDERED, ADJUDGED, and DECREED as follows:
24 FINDINGS
25 1. This Court has jurisdiction of the subject matter and of
26 the parties;
27 2. The Complaint states a claim upon which relief may be
28 granted against OneSource Worldwide Network, Inc. ("OWN") and James
1 Michael Fobair ("Fobair") under Sections 5(a) and 13(b) of the
