        Plaintiff  Federal Trade Commission ("Commission")  filed a Complaint on November 29,
2000. The Complaint charged Defendant Richard Slaback ("Slaback" or "Defendant") with
violations of Section 5 of the Federal Trade Commission Act ("FI'C  Act"),  15 U.S.C. $45.
Plaintiff  Federal Trade Commission and Defendant have agreed to entry of this Stipulated Final
Judgment and Order for Permanent Injunction ("Order") by the Court to resolve all matters in
dispute in this action without  adjudication of any issue of fact or law.
                                             FINDINGS
        1, This Court has jurisdiction  over the subject matter of this case and over Defendant.
