   Plaintiff, the Federal Trade Commission ("Commission"), filed a
   Complaint for a permanent injunction and other equitable relief
   pursuant to Section 13(b) of the Federal Trade Commission Act ("FTC
   Act"), 15 U.S.C. § 53(b), charging defendants Met-Rx USA, Inc.
   ("Met-Rx") and Met-Rx Substrate Technology, Inc. ("Substrate
   Technology") (collectively "defendants") with violations of Sections 5
   and 12 of the FTC Act, 15 U.S.C. §§ 45 and 52.

   Defendants and the Commission hereby agree to the Courts's entry of
   this Stipulated Final Order for Permanent Injunction ("Order").
