   ORDER INSTITUTING PUBLIC PROCEEDINGS PURSUANT TO SECTION 15(b)(6) OF
   THE SECURITIES EXCHANGE ACT OF 1934, MAKING FINDINGS, AND IMPOSING
   REMEDIAL SANCTIONS

                                     I.

   The Securities and Exchange Commission ("Commission") deems it
   appropriate and in the public interest that public administrative
   proceedings pursuant to Section 15(b)(6) of the Securities Exchange
   Act of 1934 ("Exchange Act") be, and they hereby are, instituted
   against George W. Guttman ("Guttman").

                                    II.

   In anticipation of the institution of these administrative
   proceedings, Guttman has submitted an Offer of Settlement ("Offer"),
   which the Commission has determined to accept. Solely for the purpose
   of these proceedings and any other proceedings brought by or on behalf
   of the Commission or in which the Commission is a party, and without
   admitting or denying the findings herein, except that Guttman admits
   the entry of the injunction set forth in paragraph III.C and the
   jurisdiction of the Commission over him and over the subject matter of
   this proceeding, Guttman consents to the issuance by the Commission of
   this Order Instituting Public Proceedings Pursuant to Section 15(b)(6)
   of the Securities Exchange Act of 1934, Making Findings, and Imposing
   Remedial Sanctions ("Order").

                                    III.

   On the basis of this Order and Guttman's Offer, the Commission makes
