       Plaintiffs allege the following upon information and belief, except as to paragraphs 2-5

are alleged upon personal knowledge:

                                      NATURE OF THE CASE

        1.      Plaintiffs bring this action as a class action on behalf of themselves and all other

limited partnership unitholders of U.S. Timberlands Company,  L.P.  (yJ.S.  `Timberlamls"  or the

"Company") who are similarly situated, to enjoin a proposed transaction designed to deprive the

Company's public unitholders of their ownership interest in U.S. Timberlands for unfair and

inadequate consideration and to usurp the benefits of the Company"s  growth and future prospects

for the benefit  ofthose defendants who control the Company and its general partner. The controlling

defendants are attempting to squeeze out the public via a coercive, two-tiered tender offer by

$7.75 in cash at the "front end" for 32% of the public units and seven year promissory notes of

dubious value for the remainder. This offer is timed to take the Company private at a price which
