1. HFTP Investments, L.L.C. ("HFTP") is, and at all relevant times was,
a limited liabi1il.y company duly organized and existing under the laws of the State of
Delaware with its principal place ofbusiness in New York, New York. At all relevant times,
Promethean As:jet Management L.L.C. ("`Promethean") acted as HFTP's investment
manager. Promethean is a limited liability company duly organized and existing under the
laws of the State of Delaware with its principal place of business in New York.
2. Defendant, L,og On America, Inc. ("LOA"), is, and at all relevant
