     Plaintiff  is  the  owner  of  300  shares  of  common  stock  of
Society  for  Savings  Bancorp,             Inc.    ("Bancorp'),  a  Delaware
corporation.    Plaintiff  is suing Bancorp, certain directors of
Bancorp, Bank  of  Boston  Corporation  ("BOB")  and  BBC  Connecticut
