                                             INTRODUCTION
              This  is  an  action                   seeking            damages  against           
   accounting               firm  on  account           of  fraud,               negligence        
   unfair             and       deceptive             acts             and        practices        
   misrepresentations                       made  to  the  plaintiff                         
   the           firm's              client,                  Consolidated                     
   Corporation,                   which          resulted               in        the        
   incurring            losses           in  excess  of  $5  million.

                                             THE  PARTIES
               1.       The  plaintiff,               old  Stone  Bank,  a  Federal
   Savings  Bank,  (hereinafter                         I'Old  Stone")                    is  a 
   savings            bank  duly  organized                     under  the  laws  of  the
   United        States         with        a  principal           place  of  business             
   One  Old             Stone        Square,          Providence,                   Rhode

               2.  The             defendant,                Ernst             &  Young           
   accounting               firm  of  certified                public           accountants

i  the  accounting               firm        known  as  Ernst              &  Whinney  which
   maintained          the  same  place  of  business.                               At  all  times
   relevant         hereto,        it  was  known  as  Ernst  &  Whinney  and
   will       be  referred         to  as  llErnstll.
                3.  The  defendant,                 Jeffrey           J.  Wright,           resides
   at  2  Clarendon              Square,         Boston,            Massachusetts             and 
   a  partner        of  Ernst  &  Whinney.
                4.  The          defendant,                 Thomas          P.          McDermott,
   resides            at         63          Monadnock                Road,             Wellesley,
   Massachusetts;               the  defendant,               Kenneth  I.  Watchmaker,
