       Plaintiff, by his attorneys, for his Class Action Complaint,
alleges the

following upon personal knowledge as to himself and his acts and as to

other matters upon information and belief based upon, inter alia, the

investigation made by and through his attorneys, including a review of
the

public filings of Northstar Health Services, Inc. ("Northstar" or the

"Company") with the Securities and Exchange Commission (the "SEC"),

reports and news articles.
