     Plaintiff, by and through its attorneys, alleges the

following, which is based upon the investigation of its attorneys,

except as to those allegations concerning plaintiff, which are

alleged upon personal knowledge. The investigation of plaintiff's

counsel, included, among other things: (a) the review and analysis

of filings made by AMF Bowling, Inc. ("AMF") with the Securities

and Exchange Commission ("SEC"); (b) the review and analysis of

reports prepared by financial analysts concerning AMF; (c) the

review and analysis of press releases and other publications

disseminated by certain of the defendants; (d) the review and

analysis of numerous articles concerning AMF and/or the other

defendants; and (e) the review of publicly available information

concerning the trading of AMF stock, including the volume and price

of such trading. Plaintiff believes that further substantial

evidentiary support exists for the allegations after a reasonable

opportunity for discovery. Many of the facts supporting the

allegations contained herein are known only to defendants or are
