                                                       NATURE OF THE ACTION
    
         1. This is a securities fraud class action on behalf of all purchasers of the common stock of
         Technical Products, Inc. ("ATP" or the " Company") between April 22, 1998, and April 28, 2000,
         (the "Class Period"), seeking to pursue remedies under the Securities Exchange Act of 1934
         Act"). This action involves the dissemination of materially false and misleading statements
         among other things, the Company's deteriorated financial condition, and the failure of the
         report its financial results in conformity with Generally Accepted Accounting Principles

         2. The claims asserted herein arise under and pursuant to §§10(b) and 20(a) of the Exchange
         §§78j(b) and 78t(a)] and Rule 10b-5 promulgated thereunder by the Securities and Exchange
         ("SEC") [17 C.F.R. §240.10b-5].
    
         3. This Court has jurisdiction over the subject matter of this action pursuant to 28 U.S.C.
