    Defendants 3Com Corporation ("3Com" or "the Company"), Robert J. Finocchio, Jr.,
    Christopher B. Paisley, and Eric A. Benhamou (collectively "Defendants") hereby answer
    plaintiffs' First Amended Complaint For Violation of the Securities Exchange Act of 1934
    ("Amended Complaint"). Defendants do not answer allegations regarding defendants Debra J.
    Engel, John H. Hart, Stephen C. Johnson, Richard W. Joyce, Janice M. Roberts, Douglas C.
    Spreng and Alan J. Kessler, who have filed a motion to dismiss the Amended Complaint. To the
    extent not explicitly admitted, all allegations of the Amended Complaint are denied.

    Plaintiffs respectfully submit a relevant decision issued by the Second Circuit Court of Appeals
    after plaintiffs' opposition to defendants' motion to dismiss was filed which sets forth the
    standard for pleading scienter under the Private Securities Litigation Reform Act of 1995
    ("PSLRA"). The decision, Press v. Chemical Inv. Serv. Corp., Docket No. 98-7123, 1999 U.S.
    App. LEXIS 1494 (2d Cir. Feb. 4, 1999) (attached hereto as Exhibit A) holds that the PSLRA
    "heightened the requirement for pleading scienter to the level used by the Second Circuit." Ex. A
    at *20. To raise a strong inference that defendants acted with scienter under the Securities
