                                     I.

              The  Securities  and Exchange Commission ("Commission")
         deems  it  appropriate to  institute  public  administrative
         proceedings against Jeff Bergman ("Bergman" or "Respondent")
         pursuant to  Section  8A  of  the  Securities  Act  of  1933
         ("Securities   Act")  and  Section  21C  of  the  Securities
         Exchange Act of 1934 ("Exchange Act".)

              In   anticipation   of   the   institution   of   these
         administrative  proceedings,  Bergman has submitted an Offer
SNIPPETS:
  • SECURITIES ACT OF l933 Release No. 7669 / April 21,
  • The Securities and Exchange Commission deems it appropriate to institute public
  • Solely for the purpose of these proceedings and any other proceedings brought by or on behalf ge Act of 1934, Making Findings and Imposing a Cease-and-Desist Order
  • From June 1993, to at least mid-1995, certain executives at Northstar Health Services, Inc.,
  • Bergman participated in the fraud involving the falsification of Northstar’s financial
