                            IT IS HEREBY STIPULATED AND AGREED, by and among the
    
    undersigned counsel for the parties in the above-captioned action, as follows:

                Plaintiffs, for their Complaint against the defendants,
    
    upon personal knowledge as to themselves and their own acts, and
    upon information and belief as to all other matters, based upon
    
    documentary evidence, investigation of its attorneys into  publicly-
    
    available news articles, public filings, press releases,  a-nd  other
    
    matters of public record, as well as an adversary complaint filed
    
    by the chapter 11 bankruptcy trustee for The Bennett Funding Group,
    
    Inc.,    ("BFG"),   a  complaint filed by the U.S. Securities and
    
    
    
    Exchange Commission  (IISEC1'),  and complaints filed by groups of
    other BFG investors, allege as follows:
