In connection with the Securities and Exchange Commission's
announcement earlier today of the filing of a Complaint in the
United States District Court for the Central District of
California, alleging illegal insider trading in the securities of
Lockheed Corporation by Mervyn Cooper and Kenneth E. Rottenberg
prior to the August 29, 1994, public announcement that Lockheed
and Martin Marietta Corporation had agreed to merge, the Office of
the United States Attorney for the Central District of California
has announced today that Cooper has pled guilty to a criminal
information charging him with a felony count of violating Section
10(b) of the Exchange Act and Rule 10b-5 thereunder. The criminal
charge stemmed from the same conduct that was the subject of the
Commission's civil charges.
