Veterinary Centers of America merged with Vicar Recap Inc., a Delaware
Corporation , with VCA as the surviving corporation. The effective date of
the merger was Sept. 20,200O.
Plaintiffs own 1,400 shares of Veterinary Centers of America and have
complied with the requirements of Section 262 of Delaware General
Corporation Law.
