COMPLAINT
Plaintiff Nolan Acquisition Ptnrs. ("Plaintiff'), for its complaint against
Aviall, Inc. ("Aviall"), alleges upon knowledge as to its own acts, and upon information and belief
as to all other matters, as follows:
1. Plaintiff is a stockholder of Aviall.
2. Aviall is a corporation organized under the laws ofthe State of
Registered Agent of Aviall in Delaware is The Corporation Trust Company, 1209 Orange Street,
Wilmington, Delaware 19801.
3. The last annual meeting of the stockholders of Aviall was held on or
May 22, 1998.
4. It has been more than thirteen months since the later ofthe last annual
of stockholders of Aviall or the last action by written consent to elect directors.
5. No date has been designated for the holding of the next annual meeting of
stockholders of Aviall.
