                        ORDER OF PARTIAL FINAL JUDGMENT

           For the reasons set forth in the Court's Letter Opinion dated March 2,

1999, IT IS HEREBY ORDERED, DECREED, and DECLARED as

follows:

           1.          Partial final judgment in the amount of  $5,320,000,  plus pre-

judgment interest, is hereby entered in favor of Mobile Diagnostech, Inc., A.

Jerome  DiGiacobbe, Jr., Calvin F. Zontine, Gerald W. Weaver (the  "MD1



Parties") and National City Bank and against  EquiMed,  Inc. (a Nevis

corporation), successor-in-interest to EquiMed, Inc. (a Delaware

corporation).

      2.         Pre-judgment interest, calculated at the prudent investor rate,
