                        CUSTODIAN UNDER SECTIONS 226 AND 352

                 FOR THE PURPOSE OF LIQUIDATING THE AFFAIRS,
                          AND DISTRIBUTING THE ASSETS, OF
                   CUTSHEET EXPRESS INC., A CLOSE CORPORATION
    
                 Cutsheet Express, Inc., Linda Bidanset and Edward J.
    Bidanset, III (l'Petitioners"), by and through their undersigned
    attorneys, hereby petition the Court pursuant to 8 Del. C.
    226 and 352 for an order appointing a custodian of Cutsheet
    Express, Inc.        In support of their petition, Petitioners allege
    as follows:
                 1.      Cutsheet Express, Inc. (the "Company") is a
    Delaware close corporation having its principal place of
    business in New Jersey.        The Company is engaged in the business
    of providing printing and related services.
                 2.      Linda Bidanset and Edward J. Bidanset, III (the
    "Bidansets") , residents of the State of New Jersey, are joint
    owners of 50 percent of the stock of the Company.           The
    Bidansets have held their 50 percent equity interest in the
    
    
    
    Company since its inception in or about May of 1996.
    Petitioner Edward J. Bidanset, III is also one of the Company's
    two officers, holding the offices of Secretary, Treasurer, and
    Chief Executive Officer of the Company.
                3.    Teresa A. Blewitt and John J. Blewitt
    ("Defendants"), residents of the Commonwealth of Pennsylvania,
    jointly own the remaining 50 percent of the Company's stock,
    and have held their 50 percent equity interest in the Company
    since its inception.     John J. Blewitt is the only other officer
