                                        FINAL ORDER AND JUDGMENT

                    For the reasons set forth in the Court's oral ruling after argument on June 25,

1999:

                     1.        Marriott Senior Living Services, Inc.`s  ("MSLS") claim to

made by the Greenville Retirement Community, LLP (the "Partnership") after August 11,

1998 is DENIED with prejudice.

                    2.         Defendant's alternative claim for interest at the legal rate on the

redemption price of $4,062,727.00 from August 11, 1998 to March 3, 1999 is GRANTED

IN PART and DENIED IN PART. The Partnership shall pay MSLS interest at the 30 day
