                 Plaintiff Everest Properties, Inc. ("Everest"), for its

        complaint against American Tax Credit Properties III L.P.,

        Richman Tax Credit Properties III L.P. and  Richman Housing

        Credits Inc., alleges as follows on personal knowledge as to

         its own actions and on information and belief as to the

         actions of others:

                            1.    Everest is a corporation organized under the

         laws of the State of California.

                            2.    Defendant American Tax Credit Properties III

         L.P. (the "Partnership") is a limited partnership organized in

         1989 under the laws of the State of Delaware.             Its registered
