            Defendant Melvin E. Pearl ("Pearl"), by and through his undersigned counsel and pursuant to
    
    Rule 7 of the Delaware Chancery Rules, hereby respectfully moves this Court to dismiss plaintiffs'
    
    complaint on the following grounds:
    
            1. Pearl moves to dismiss Counts I, II and III of the complaint because the claims
