              Plaintiff, by and through his attorneys and on behalf of
    himself and all others similarly situated, for his complaint,
    alleges upon information and belief, based, in part, upon the
    investigation conducted by and through his attorneys, except for
    paragraph 7 below, which is alleged upon knowledge, as follows:
                              NATURE OF THE ACTION
    
              1.      This is a class action on behalf of all persons and
    entities, other than defendants herein, whose shares of
    Mecklermedia Corporation ("Mecklermedia" or the "Company"), were
    acquired by Penton Media, Inc. ("Penton") pursuant to an Agreement
    and Plan of Merger between and among Mecklermedia, Penton and
    Internet World Media Inc., dated October 7, 1998 (the "Merger
    Agreement").
              2.      Defendant Alan Meckler ("Mecklerll),  Mecklermedia's
    Chairman, Chief Executive Officer and 26% shareholder, and his
    confederates on the Mecklermedia Board of Directors sold out the
    
    
    
    interests of the public shareholders of Mecklermedia for grossly
    unfair and inadequate consideration while securing the benefits of
    a sweetheart side deal for Meckler.    Specifically, Meckler and the
    other members of the Mecklermedia Board of Directors agreed to sell
    Mecklermedia, an Internet media company, to Penton in a tender
    offer/merger transaction (the llTransactionlt)  for $29 per share cash
    -- a price that grossly undervalued Mecklermedia and its treasure
    trove of Internet-related assets.        At the same time, at the
    insistence of Meckler and in order to obtain his agreement to the
    terms of the Transaction, Penton agreed to sell 80% of
    Mecklermedia's Internet website subsidiary, Internet.com, to
    Meckler for the rock bottom price of $18 million (the "iWorld
