                                              CLASS ACTION COMPLAINT

                          Plaintiffs, by their attorneys, allege upon information and belief except

        with respect to their ownership of  Howmet International Inc. ("Howmet" or the

        "Company") common stock, which is alleged upon personal knowledge, as follows:

                                                            PARTIES

                           1.       Plaintiffs are the owners of shares of defendant Howmet.

                          2.        Defendant Howmet is a Delaware corporation with executive

        at 475 Steamboat Road, Greenwich, Connecticut. Howmet is a holding company with a

        subsidiary which, among other things, manufactures investment cast turbine engine

        components for the jet aircraft and industrial gas turbine markets.
