        Plaintiff RGC International Investors, LDC ("RGC")  brings this

action against defendants Greka Energy Corporation ("Greka"), Saba

Petroleum Corporation ("New Saba"), and certain individual defendants

                     The trial in this action involves a dispute between an owner of preferred
    
    stock, plaintiff RGC International Investors, LDC ("RGC") and defendants Greka Energy
    
    Corporation ("Greka") and its wholly owned subsidiary Saba Petroleum Corporation
    
    ("Saba") (together "defendants").
    
                     The Court is familiar with the chronology of events and the disputed areas
    
    between the parties, having heard oral argument on four substantive motions and issued
    
    detailed memorandum opinions dated November 6, 2000, and March 7, 200 1.

                          DEFENDANTS' MOTION TO STAY DISCOVERY
    
                      In an all too predictable response to the Moving Defendants' Motion to Stay
    
    Discovery during the  pendency  of their dispositive motion to dismiss the Amended Complaint
    
    (the "Pending Dispositive Motion"), plaintiff raises numerous issues of fact that it contends
    
    preclude the Court from adjudicating the purely legal issues raised in the Pending Dispositive
    
    Motion. In essence, plaintiff wants two bites at the proverbial apple. In seeking to delay and
    
    oppose defendants' Motion to Stay Discovery, plaintiff argues that the Pending Dispositive
    
    Motion should be converted to one for summary judgment requiring extensive discovery.  '
    
                      Plaintiffs argument is unsound. As explained below and in the Pending
    
    Dispositive Motion, the issues raised by defendants in their motion to dismiss are purely legal,
    
    and there is no need for discovery at this stage in the proceedings. (See Argument, Point 1,
    
    
    
            Plaintiffs first attempt to avoid facing the legal issues entailed the fling of an Amended
            Complaint that made no effort to correct the deficiencies of the original Complaint, but
