              1.      Plaintiff II-VI Incorporated ("II-VI") is a corporation organized and

existing under the laws of the Commonwealth of Pennsylvania  w:ith a principal place of

business located at 375 Saxonburg Boulevard, Saxonburg, PA 16506.

              2.      Defendant Laser Power Corporation ("Laser Power") is a corporation

organized and existing under the laws of the State of Delaware with a principal place of
