                   Cantor Fitzgerald, L.P. ("CFLP"), and CF Group Management, Inc.
    
    ("CFGM"), for their Complaint against the above-named defendants, by their
    
    undersigned attorneys, alleges as follows, upon knowledge as to their own status and
    
    acts, and upon information and belief as to all other matters:
    
                                          INTRODUCTION
    
                   1.      This is an action by CFLP, a Delaware limited partnership,
    
    and CFGM, a Delaware corporation, for declaratory judgment that certain actions
    
    taken by them, as set forth below, do not constitute a breach of fiduciary duty and are
    
    
    
    lawful in all respects. This action also seeks declaratory judgment that certain
    
    amendments to the Agreement of Limited Partnership of Cantor Fitzgerald, L.P.,
    
    Amended and Restated as of August 28, 1996 (the "1996 Partnership Agreement"),
