                  OF A RECEIVER FOR A DISSOLVED CORPORATION


       Petitioner, Juliette Kean of Banco Popular de Puerto Rico, by and through its counsel,

alleges the following:

        1.     Petitioner is Juliette Kean, Vice President of Banco Popular de Puerto Rico (the

"Bank"). The Bank is organized under the laws of the Commonwealth of Puerto Rico, with its

principal executive offices located in Hato Rey, Puerto Rico

       2.      CGC Holding Company (the "Company") was incorporated under the laws of the

State of Delaware pursuant to a Certificate of Incorporation filed in the Offtce of the Secretary of

State of the State of Delaware on November 26, 1991. The Company was the sole shareholder

and successor in interest of Home Mortgage Company which was engaged in the business of

originating and servicing mortgage loans in the Commonwealth of Puerto Rico and the U.S.

Virgin Islands, and operated under the commercial names of "Puerto Rico Home Mortgage" and

"Home Mortgage V.I." Home Mortgage Company, in turn, was the successor in interest and title

of Crossland Capital Corp., of Metmor Financial, Inc. and of MFI Acquisition Company.

       3.      The Company was dissolved pursuant to the provisions of 8 Del. 3 275. The

dissolution became effective upon the filing of a Certificate of Dissolution with the Secretary of
