                     Plaintiff  MODTECH HOLDINGS, INC.  ("Modtech"j,  hereby sues MILLER
    
    BUILDING SYSTEMS, INC. ("Miller") in this Complaint, and alleges, upon knowledge as to
    
    itself and upon information and belief as to all other matters, as follows:
    
                     1.      Plaintiff  Modtech is a corporation organized and existing under the laws
    
    of the State of Delaware, having its principal place of business at 2830 Barrett Avenue,  Pen-is,
    
    California 92571. Modtech's common stock is traded on the NASDAQ national market under
    
    the symbol "MODT."
    
                     2.      Defendant Miller is, and at all relevant times has been, a corporation
    
    organized and existing under the laws of the State of Delaware, having its principal place of
    
    business at 58120 County Road 3 South,  Elkhart,  Indiana 465 17. Miller's common stock is
    
    traded on the NASDAQ national market under the symbol "MBSI."
    
                     3.      This is an action for specific performance and declaratory related relief
