                                             Plaintiff, by and through his attorneys, alleges upon

                                 inform,stion as to himself and upon information and belief as to

                                 other matters, as  f'o:.lows:

                                                                        NATURE OF THE ACTION

                                             1.            This is a shareholder derivative  action
