Plaintiffs, by their attorneys, allege as follows:

1. Plaintiffs bring this action derivatively on behalf of nominal defendant Infogrames,
Inc., ("Infogrames" or the "`Company") to recover for the benefit of lnfogrames losses it has
sustained as a result of self-dlealing transactions foisted on it by its controlling shareholder,

Plaintiffs, by their attorneys, allege as follows:
Plaintiffs bring this action derivatively on behalf of nominal defendant Infogrames,
to recover for the benefit of lnfogrames losses it has
sustained as a result of self-dlealing transactions foisted on it by its controlling
I nfclgrames Entertainment S.A.,, and Infogrames SA's nominees on Infogrames
Plaintiffs Jane Bassler and Paul McGovern are owners of Infogrames common stock
shares at all times relevant hereto.
Nominal Defendant Infogrames is a Delaware corporation that is purportedly a
;approximately 20.7 million shares of stock outstanding which are traded on the NASDAQ
Infogrames was previously known as GT Interactive Software Corp.
According to Infogrames' June 30, 2000 Form 10-K A00,
Bonnell is the Chairman and Chief Executive Officer of both Infogrames SA and
