                                  DERIVATIVE COMPLAINT

       Plaintiffs, by their attorneys, allege as follows:

                                FmJJRE OF THE ACTION

       1.       Plaintiffs bring this action derivatively on behalf of nominal defendant Infogrames,

Inc., ("Infogrames" or the "`Company") to recover for the benefit of lnfogrames losses it has



sustained as a result of  self-dlealing  transactions foisted on it by its controlling shareholder,

  • Plaintiffs bring this action derivatively on behalf of nominal defendant Infogrames,
  • to recover for the benefit of lnfogrames losses it has
  • sustained as a result of self-dlealing transactions foisted on it by its controlling
  • I nfclgrames Entertainment S.A.,, and Infogrames SA's nominees on Infogrames
  • Plaintiffs Jane Bassler and Paul McGovern are owners of Infogrames common stock
  • shares at all times relevant hereto.
  • Nominal Defendant Infogrames is a Delaware corporation that is purportedly a
  • ;approximately 20.7 million shares of stock outstanding which are traded on the NASDAQ
  • Infogrames was previously known as GT Interactive Software Corp.
  • According to Infogrames' June 30, 2000 Form 10-K A00,
  • Bonnell is the Chairman and Chief Executive Officer of both Infogrames SA and
  • Furthermore, the Purchase Agreement also states, among other things, that "each of the
  • Agreement or any of the transactions contemplated hereby."
  • Defendant Thomas Schmider is a director of Infogrames.
  • Collectively, the defendants identified in paragraphs 6-12, will be referred to herein
