           Dear Mr. Anderson, Mr. Lyon and Mr. Monhait:

                          On June 8, 1999, I held a telephone conference in my Wilmington office.

           Present were Mr. Monhait and Mr. Frank Barkin of Rudolph Palitz. Mr. Lyon

          participated in the conference by telephone. Although advised of the conference

           time and date, Mr. Anderson was not available.

                          The dispute now pending before me arises in connection with the

           administration of the settlement in this case. More particularly, the question is

           whether the settlement administrator (Rudolph Palitz) should be held responsible

           for payment of two claims asserted to have been submitted, but which the

          settlement administrator denies ever having received. My authority in this matter



is established by section 3 of the Second Stipulation and Agreement of Settlement
