    Nature of the Action and Parties
    
             1.        Plaintiff Igor Kalageorgi brings this action pursuant to 8 Del. C. $225
    
    and 5227 for a summary determination that (a) he is the sole director and officer of
    
    Victor Kamkin, Inc.  ("VKI" or the "Company"), a Delaware corporation and  (b)
    
    purported holders of shares of VKI common stock were not entitled to vote that
    
    stock at a February 24, 1999 annual meeting of stockholders of VKI (the "Annual
    
    Meeting").
    
             2.        VKI has offices in Rockville, Maryland and New York City and is one
    
    of the largest importers of Russian books into the United States. Its principal
    
    supplier  of books during over 40 years of operation has been V/O Mezhdunarodnaya
    
    Kniga  ("MezhKniga"), a Russian company which became a private entity after the
