the director -- which otherwise are conceded to be absolute -- may be limited by

ordering the director not to disclose those records (or information derived

therefrom) to the 50% stockholder that designated the dirlector as a board member.

             Webast,o Sunroofs Inc. (the "Corporation"), by its undersigned counsel, for its answer to
    
    the complaint herein states on its own knowledge as to itself and on information and belief as to
    
    all other matters as follows:
    
             1.         Paragraph 1 of the complaint is denied, except it is admitted that Franz-Josef
    
    Korttim has ser,ved as a member of the board of directors of the Corporation since May 18, 1995.
    
             2.         Paragraph 2 of the complaint is denied, except it is admitted that plaintiff
    
    AG Fahrzeugte:chnik ("Webasto AG") is the record holder of 100,000 shares of the issued and
    
    outstanding common stock of the Corporation.
    
             3.         Paragraph 3 of the complaint is denied, except it is averred that to the extent

                  1.          Plaintiff Franz-Josef Korttirn  is and at all times pertinent hereto was a
    
    member of the board of directors of defendant Webasto Sunroofs Inc. ("WSI").
    
                  2.          Plaintiff Webasto AG Fahrzeugtechnik ("Webasto AG") is and at all times
    
    pertinent hereto was the record holder of one hundred thousand (100,000) shares of the issued
    
    and outstanding common stock of defendant WSI, which represents a fifty percent (50%) equity
    
    interest in the corporation.
    
                  3.          WSI, a Delaware corporation with its principal place of business at 2700
    
    Product Drive, Rochester Hills, Michigan, is a joint venture established pursuant to a
    
    Shareholders Agreement, dated as of May 1, 1984, between Cosma International of America,
    
    Inc. ("Cosma America") (formerly Magna International of America, Inc.) and Webasto AG.
    
    
    
                  4.        On May 3 1, 1999, Kortiim  and Webasto AG delivered a written demand
    
    (the "Demand") to WSI, made under oath in accordance with $220 of the Delaware General
    
    Corporation Law, demanding the right to inspect and copy the following:
