                                               ORDER

                Petitioner in the captioned matter, having moved the Court pursuant to 8 Del, C.

5 279 for the appointment of a trustee, and good cause therefor having been shown,

                IT IS HEREBY ORDERED that:

                1. James W. Langham  is hereby appointed Trustee of and for Lonestar

Florida, Inc. (herein the "Company"), pursuant to 8 Del. C. 5 279 and is authorized in the name

of Company to do all things and to take all actions necessary fully and finally to sell or otherwise

transfer the Company's interest in the Property and to distribute the proceeds, if any, therefrom to

Petitioner.

                2. The trusteeship established by this Order shall automatically terminate

upon the tiling of an affidavit  by the Trustee notifying this Court that all actions required to be

taken by the Trustee in order to transfer the Company's interest in the Property and to distribute

the proceeds, if any, therefrom have been taken.

                3. The provisions of Chancery Court Rules 148 through and including 168,

per-taining to the duties of trustees, are hereby waived.

                4. Before entry into his duties hereunder, the Trustee shall cause to be tiled

with this Court a Consent to Jurisdiction, pursuant to which the Trustee shall consent and submit



to the -jurisdiction of the courts of the State of Delaware in all matters relating to or arising

his services as Trustee hereunder.

                4.      This Court shall retain jurisdiction of this matter pending receipt of the

                                                FOR A DISSOLVED CORPORATION
    
                                   Lone Star Industries, Inc. ("Petitioner"), a Delaware corporation,
    
               its attorneys, for its petition, alleges as follows:
    
                                   1.     Petitioner was the record owner and holder of all the
    
               Lonestar Florida, Inc. (the "Company"), a corporation organized and existing under the
    
               Corporation Law of the State of Delaware.
    
                                   2.     The Company was incorporated under the laws of the State of
    
               pursuant to a certificate of incorporation filed in the Office of the Secretary of State
    
               of Delaware.
    
                                   3.     The Company was fully dissolved pursuant to the provisions of
