The following terms govern your access to and use of the LegalCaseDocs.com database and all information, computer programs, Internet webpages, screens, manuals and other materials therein (collectively, the "Site"). PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THIS SITE.

1. NO ATTORNEY-CLIENT RELATIONSHIP
   
   The Site does not constitute or contain legal advice, nor is it intended to. Use of the Site by you ("User") does not create, and is not intended to create, an attorney-client relationship between User and LegalCaseDocs.com or any other party. LegalCaseDocs.com is not engaged in the practice of law or in providing legal services to User or any other person. The Site is provided for informational purposes only. User will not represent that it is in an attorney-client relationship with LegalCaseDocs.com. Use of the Site may require the application of professional expertise and judgment, for which User should consult a competent attorney licensed to practice in the appropriate jurisdiction.
   
   
2. GRANT OF LIMITED LICENSE
   
   LegalCaseDocs.com hereby grants User a nonexclusive, nontransferable, revocable, limited license to access and use the Site. This license is strictly limited to the following: (a) the right to electronically download and display case documents retrieved from the Site; (b) the right to create print-outs of the documents retrieved from the Site.
   
   
3. RESTRICTION ON USE
   
   Except as specifically provided herein, User is strictly prohibited from: (a) reselling materials retrieved from the Site; (b) storing any materials from the Site in any archival or retrieval system (whether elctronic or non-electronic) that is indexed or searchable; (c) using the Site in any fashion that infringes the copyrights or other intellectual property rights of any third party; (d) decompiling, reverse engineering, disassembling, renting, leasing, loaning, creating derivative works from and sublicensing the Site; (e) using or otherwise exporting or re-exporting the Site in violation of the export control laws and regulations of the United States of America; (f) using the Site, or facilitating any other individual's use of the Site, in any manner that is adverse to, or competitive with LegalCaseDocs.com; (g) using the Site in any jurisdiction where it is illegal.
   
   
4. OWNERSHIP
   
   User acquires no right, copyright, title or interest in the Site.
   
   
5. FEES
   
   Charges and payment terms shall be governed by either a Subscription Agreement (the terms of the applicable agreement, whether the Subscription Agreement or Per-Use Fee Schedule, are herby incorporated into this Agreement) covering the User (as applicable) or the Per-Use Fee Schedule. The Per-Use Fee Schedule will apply unless the User is covered under an executed Subscription Agreement by which User received its identification and password. If User is governed by the Per-Use Fee Schedule, User hereby authorizes LegalCaseDocs.com to charge the credit card provided by User in the registration process for all fees and expenses.
   
   
6. ACCESS TO THE SITE
   
   LegalCaseDocs.com will utilize the information User provides on the Customer Information Form(s) to determine, in its sole discretion, whether User is eligible to access and use the Site and the information, products, software, services and features contained therein. LegalCaseDocs.com does not authenticate the identities of users, except in connection with products or services wherein it is expressly designated otherwise. User's password may be restricted from accessing certain materials otherwise available in the Site.
   
   
7. WARRANTY DISCLAIMER
   
   User agrees that user's use of the Site is entirely at user's own risk. The Site is provided on an "as is", "as available" basis and LegalCaseDocs.com expressly disclaims all warranties, express or implied, with respect to any aspect of the Site.
   
   LegalCaseDocs.com makes no warranty or representation that the Site is appropriate for use in any particular jurisdiction or for any purpose whatsoever. The Site is no exhaustive or complete and therefore may not include a document relevant to User's work.
   
   LegalCaseDocs.com specifically disclaims any and all representations and warranties relating to the following: (i) the warranties of merchantability or fitness for a particular purpose; (ii) any warranties concerning the availability, accuracy, completeness, content selection, timeliness, reliability or relevancy of the Site; (iii) any warranties of title; (iv) noninfringement of any third party's proprietary rights; or (v) the security of the Site.
   
   User acknowledges that the Site entails the likelihood of some human and machine errors, delays, interruptions and losses, including the inadvertant loss of data.
   
   
8. EXCLUSION OF CONSEQUENTIAL DAMAGES
   
   Neither LegalCaseDocs.com or any of its partners, agents, affiliates, officers, directors, employees, subcontractors, successors or assigns shall be liabile for any consequential, punitive, special, coincidental or indirect damages arising out of any use of the Site, any information contained on the LegalCaseDocs.com web site, any inability to gain access or to use the Site or any breach of this agreement.
   
   
9. LIMITATION OF LIABILITY
   
   The aggregate liability of any cliam arising out of or relating to the Site shall not exceed the amount paid by User to LegalCaseDocs.com for access to and use of the Site during the twelve month period immediately prior to the accrual of the cliam.
   
   This limitation of liability applies to any damages or injury caused by any failure of performance, error, ommission interruption, deletion, defect, delay in operation or transmission, computer virus, act of God, los profits or lost savings, communication line failure, theft or destruction of unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action, in any way due to, resuling from, or arising in connection with the Site. User specifically acknowledges that LegalCaseDocs.com is not liable for the defamatory, offensive or illegal conduct of other Users or third parties and that the risk of injury from the foregoing rests entirely with the User. User hereby acknowledges that this section shall apply to all content on the Site.
   
   
10. USER'S REPRESENTATIONS AND WARRANTIES
    
    User hereby represents and warrants that: (a) the information User has provided to LegalCaseDocs.com is true and accurate; (b) User will at all times comply with all applicable laws, rules, and regulations with respect to the User's use of the Site; (c) User will not use the Site to infringe, misappropriate or violate the rights of LegalCaseDocs.com or third parties; (d) User will not knowingly introduce to or through the Site any viruses or other items of a destructive nature; and (e) User will comply at all times witht the terms of this Agreement, as amended, and all terms incorporated herein by reference.
    
    
11. INDEMNIFICATION BY USER
    
    User agrees to indemnify and hold harmless LegalCaseDocs.com, it partners, agents, affiliates, officers, directors, employees, subcontractors, successors and assigns harmless from any and all third party claims, demands, expenses, causes of action, including resonable attorney's fees and court costs, judgments, settlements, penalties, expenses, or costs arising out of or related to: (a) any breach by User, of this Agreement or any terms incorporated herein by reference; (b) any use of the Site by User; (c) any infringement, misappropriation or violation by User of any copyrights or other intellectual property rights of any third party.
    
    
12. ACCESS TO PASSWORDS
    
    Access to and use of secure areas of the Site is restricted to authorized users of the Site. User shall ensure that its access to the Site cannot be used by anyone other than the User. User shall not share or exchange its password or identification with anyone. User is solely reponsible for maintaining the security of it LegalCaseDocs.com identification and password information. User is responsible for all access of the Site under User's identification and password, whether or not User has any knowledge of such access or use. User's password may be restricted from accessing certain materials otherwise available in the Site.
    
    
13. MISCELLANEOUS
    
    User understands that any communication between it and LegalCaseDocs.com, including email communication, should not be considered confidential. User shall not send LegalCaseDocs.com any confidential or sensitive information.
    
    LegalCaseDocs.com reserves the right, at its sole discretion, to amend this Agreement at any time. Any amended Agreement will be made available online on a click-through basis, will be effective immediately upon being posted, and will be posted on the LegalCaseDocs.com website. If any change is unacceptable to User, User shall terminate its use of the Site. LegalCaseDocs.com reserves the right, at its sole discretion, to modify, enhance, add or delete any portion of the Site at any time.
    
    User may terminate User's access to the Site upon written notice to LegalCaseDocs.com. The effective date of termination shall be thirty (30) days after the receipt of an appropriate notice of termination, unless mutually agreed by the parties in writing. LegalCaseDocs.com may suspend or discontinue providing the Site to User with or without cause and without notice if User fails to comply with any of its obligations under this Agreement. All of User's obligations under this Agreement, including those outlined in the "Restrictions of Use" section, will survive the termination of this Agreement. Except as provided herein, all termination notices must comply with the notice provision in Section [15d] below in order to be effective.
    
    The failure of LegalCaseDocs.com to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.
    
    LegalCaseDocs.com may pursue any other remedy legally available to it if User fails to comply with any of its obligations hereunder. LegalCaseDocs.com may assign its rights and delegate its duties under this Agreement. User may not assign its rights or delegate its duties under this Agreement without the prior written consent of LegalCaseDocs.com.
    
    If any provision hereof is adjudged to be invalid, void or unenforceable, the parties agree that the remaining provisions hereof will not be affected thereby, that the provision in question may be replaced by the lawful provision that most nearly embodies the original intention of the parties, and that the other terms of this Agreement will in any event remain valid and enforceable.
    
    The Site may contain links to other resources on the Internet. Such links are provided solely as aids to assist you in locating other Internet resources that may be of interest. They are not intended to state or imply that LegalCaseDocs.com sponsors or is anyway affiliated with or related to such linked websites. User may not link to LegalCaseDocs.com without the prior written consent of LegalCaseDocs.com.
